MX Platform Terms and Conditions

These Terms and Conditions (“Agreement”) govern your access to and use of the MX platform (“Platform”) provided by M2 LLC, a Florida limited liability company (“M2,” “we,” “us,” or “our”). By accessing or using the Platform, you (“User” or “you”) agree to be bound by this Agreement. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1. Beta Testing Access and Pricing

1.1 Beta Status
The Platform is provided as part of a limited beta testing program. Features, performance, and user interface may change or be removed at any time without notice.

1.2 Beta Pricing
During the beta period, the Platform is provided free of charge ($0.00) for evaluation and feedback purposes only.

1.3 Post-Beta Pricing Notice
No less than thirty (30) calendar days prior to the conclusion of beta testing, M2 will provide written notice of applicable subscription or usage pricing for continued access.
2. Regulatory Compliance – Florida Mortgage Activities

2.1 Compliance with Florida Law
You agree to use the Platform in full compliance with all applicable laws and regulations, including but not limited to:
- Chapter 494, Florida Statutes – governing mortgage brokering and mortgage lending activities in the State of Florida;
- Florida Office of Financial Regulation (OFR) requirements regarding mortgage licensing, advertising, disclosures, and consumer protection;
- Applicable federal laws, including but not limited to the Real Estate Settlement Procedures Act (RESPA), Truth in Lending Act (TILA/Reg Z), and Gramm-Leach-Bliley Act (GLBA).

2.2 Consumer Data Protection
You agree not to input or upload any consumer personal or financial information (e.g., loan applications, credit reports, SSNs) into the Platform unless expressly authorized in writing by M2 and handled in accordance with all state and federal privacy and data security laws, including but not limited to:
- The Florida Information Protection Act of 2014 (FIPA);
- Section 501.171, Florida Statutes;
- GLBA Safeguards Rule (as amended).
3. Proprietary Rights and Restrictions

3.1 Ownership
All intellectual property rights in the Platform (software, algorithms, branding, code, design, documentation) are and shall remain the sole and exclusive property of M2 LLC.

3.2 Usage Restrictions
You agree that you shall not:
- Reverse engineer, disassemble, or decompile the Platform or attempt to discover any source code;
- Reproduce, modify, distribute, or create derivative works based on the Platform;
- Share access credentials or grant third parties unauthorized use of the Platform;
- Use the Platform in a manner that violates applicable laws, regulatory rules, or this Agreement.
4. Confidentiality and Non-Disclosure

4.1 Confidential Information
“Confidential Information” includes, but is not limited to: beta features, code, system performance, product plans, designs, pricing strategies, business operations, user feedback, and any proprietary data disclosed by M2.

4.2 Non-Disclosure Obligations
You agree to:
- Maintain all Confidential Information in strict confidence;
- Not disclose any Confidential Information to third parties without prior written consent from M2;
- Limit access to Confidential Information to employees or agents bound by confidentiality obligations at least as restrictive as this Agreement.

4.3 Beta NDA Provisions
While the Platform remains in beta, you agree:
- Not to make public statements, social media posts, or demonstrations regarding the Platform;
- Not to distribute screenshots, video captures, or test results without written consent from M2;
- To treat the very existence of the beta test as Confidential Information.
5. Use of Platform and Feedback

5.1 Permitted Use
You may only use the Platform for internal evaluation and beta testing purposes. Use of the Platform for live consumer loan processing, marketing campaigns, or mortgage transactions is prohibited during beta unless specifically authorized.

5.2 Feedback License
If you submit feedback, bug reports, or improvement suggestions, you grant M2 a perpetual, irrevocable, royalty-free license to use, modify, and commercialize that feedback for any purpose without restriction or compensation to you.
6. Compliance Representations

6.1 Licensing Status
By using the Platform, you represent and warrant that you are duly licensed, if required, under Chapter 494, Florida Statutes, and any applicable federal or state mortgage laws.

6.2 User Content Compliance
You are solely responsible for ensuring that any content or data you input complies with applicable mortgage regulations, consumer protection laws, and advertising standards. M2 disclaims all liability related to the legality or accuracy of user-submitted content.
7. Term and Termination

7.1 Term
This Agreement begins when you first access the Platform and continues until the conclusion of the beta period unless terminated earlier.

7.2 Termination Rights
M2 may suspend or terminate your access at any time, with or without cause or notice. Upon termination, you must immediately stop using the Platform and destroy all related materials.

7.3 Survival
Sections 2, 3, 4, 5, 6, 7.3, and 8 shall survive termination of this Agreement.
8. Limitation of Liability and Disclaimer
8.1 Disclaimer
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. M2 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, M2 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Governing Law and Dispute Resolution

9.1 Florida Governing Law
This Agreement shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflicts of laws principles.

9.2 Venue
Any disputes arising under or related to this Agreement shall be brought exclusively in the state or federal courts located in Polk County, Florida, and each party consents to personal jurisdiction and venue in such courts.

9.3 Equitable Relief
You acknowledge that any breach of Sections 3 or 4 would cause M2 irreparable harm and that M2 shall be entitled to seek equitable relief (including injunctions) without posting bond or proving damages.
10. General Terms

10.1 Entire Agreement
This Agreement constitutes the complete agreement between the parties regarding its subject matter and supersedes all prior understandings or agreements, whether oral or written.

10.2 Modifications
M2 may revise these terms at any time. Material changes will be communicated in writing or electronically. Continued use of the Platform after such notice will constitute acceptance.

10.3 Assignment
You may not assign or transfer this Agreement or your rights under it without prior written consent from M2.

10.4 Waiver
Failure to enforce any provision of this Agreement shall not constitute a waiver of that or any other provision.
